Register a Non-profit Corporation in PEI
A company without share capital and with no financial gain to its members may incorporate for non-profit purposes in Prince Edward Island under the Companies Act: Part II. You can submit the incorporation documents using the online submission form below.
A non-profit corporation registered with the Province must renew the registration annually. The annual renewal registration may be submitted online at Renew a Cooperative or Non-profit in PEI.
If your non-profit corporation intends to become a registered charity, please review the Canada Revenue Agency (CRA) requirements of a charitable organization under the federal Income Tax Act before you apply to incorporate. Then once you are provincially incorporated, you may apply to Canada Revenue Agency (CRA) for charitable status. Apply to become a registered charity.
What do I need to submit to the corporate registry?
The application to register a non-profit corporation must include:
- Petition for Incorporation (prepared by a legal professional) signed and sealed by three or more applicants that meets the requirements under the Companies Act: Part II, which includes the following:

(1) Proposed name of the non-profit corporation

(2) Purpose for incorporation (3) Location of the corporation head office in PEI (4) Name, address and occupation of each applicant (a minimum of three) (5) Names of the provisional officers and directors (a minimum of three) (6) Affidavit sworn by a Commissioner of Affidavits or Notary Public

- Memorandum of Agreement (prepared by a legal professional), signed and sealed by three or more applicants, setting forth the bylaws of the proposed corporation including:
- conditions of membership
- operational procedures, i.e. mode of holding meetings, quorum, voting and enacting bylaws
- appointment and removal of directors and officers, their powers and remuneration
- financial processes, i.e. audit of accounts and appointment of auditors; and
- custody of the corporate seal and certifying documents
- Full Payment of Fees
What is the fee to register a non-profit corporation?
The initial registration fee is $180. The fee is broken down as follows:
- $125 for registration;
- $40 for name search; and
- $15 for publication.
How long will it take to process my application?
After receiving your application, the registry will call or email if we have any questions or require additional information (typically within 5 business days). The processing time for a completed application is typically 10 business days. Your processing time starts the day we receive the completed application (after any required changes or additional information is provided).
